These terms govern your use of northerly.dev and set out the basis on which we provide our services. Please read them before using the site.
Definitions
"We", "us" and "our" mean NORTHERLY.DEV LTD, a company registered in England and Wales under company number 16918280. Our registered office is on public record at Companies House.
"Site" means northerly.dev and any subdomain of it. "You" means anyone using the Site. "Services" means the engineering, consultancy and related work we carry out for a client.
Our services
We design, build and run software, including systems that use AI. We work under a separate written agreement with each client, which covers scope, fees, timescales, confidentiality, intellectual property and acceptance. Where that agreement conflicts with these terms, the agreement takes precedence.
Nothing on this Site is an offer to contract, a quotation, or a guarantee of any particular result. Descriptions of our work, our stack and our approach are provided for information and may change without notice.
Where we build systems that rely on machine learning models, their outputs are probabilistic. We will agree evaluation criteria with you in writing, but we do not warrant that any AI-assisted system will be free from error or will produce any specific output.
Using this site
You may view, download and print pages from the Site for your own information and for the purpose of evaluating whether to work with us. You may not republish, sell, rent or sub-licence material from the Site, or present it as your own.
You agree not to use the Site in any way that is unlawful, that interferes with its operation or availability, or that attempts to gain unauthorised access to it or to any system connected to it.
Intellectual property
Unless stated otherwise, we own or are licensed to use all content on the Site, including text, layout, graphics and code. Our name, logo and branding are ours and may not be used without our written permission.
Where we publish source code — for example in the open-source projects we link to — that code is governed by the licence published with it, not by these terms.
Links to other sites
The Site links to sites we do not control. We include those links because we think they are useful; we are not responsible for their content, their availability, or how they handle your data. Following an external link is at your own risk.
Limitation of liability
The Site is provided as-is and as-available. We do not warrant that it will be uninterrupted, error-free, or free from anything harmful, and we do not accept liability for any loss arising from your reliance on information published here.
We do not exclude or limit our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded.
Subject to that, we are not liable for indirect or consequential loss, or for loss of profits, revenue, business, goodwill, data or anticipated savings, however arising.
We are not liable for any failure or delay caused by events outside our reasonable control, including network or hosting failures, outages at third-party providers, industrial action, or acts of government.
Changes to these terms
We may amend these terms from time to time. The version published on this page is the one that applies to your use of the Site, and the date it was last changed is shown at the top.

These terms, and any dispute arising out of them, are governed by the laws of England and Wales, and are subject to the exclusive jurisdiction of the courts of England and Wales.
